Mandatory Change. The Parties acknowledge that the Recipient may have to conduct testing to ensure that the performance of a Product under changed Specifications meets all applicable requirements before giving its consent to a change request.
Mandatory Change. The Supplier shall not unreasonably refuse to carry out any Change Request proposed by the Council, including any changes to the scope of the Services and/or Deliverables. In the event the parties cannot agree upon changes using the Change Control Procedure, the parties shall in good faith seek to agree any proposed changes using the Dispute Resolution Procedure. Any discussions which may take place between the Council and the Supplier in connection with a request or recommendation before the signing of a Contract Amendment shall be without prejudice to the rights of either party.
Mandatory Change. 10.2.1 Where a Change Control Request is in respect of a Mandatory Change, the Parties shall, as soon as reasonably practicable thereafter, meet to discuss and agree the terms on which, and the time frame in which, each Party shall implement that Mandatory Change (which shall be within the time frame required to comply with the relevant Regulation, except where it would not be reasonable for each Party to implement such Mandatory Change within such time frame, in which case each Party shall implement such Mandatory Change as soon as reasonably practicable thereafter). The Parties shall work together in good faith to mitigate the consequences of any delay in implementing the Mandatory Change beyond the date required to comply with the Regulation.
10.2.2 To the extent that a Mandatory Change requested by a Party increases the cost to the Provider (including, for the avoidance of doubt, the costs and appropriate margin of implementing the Mandatory Change and incremental running costs and appropriate margin incurred by the Provider arising as a result of that Mandatory Change), then the increased cost and margin to the Provider will be added to the Charges paid by the Recipient for the relevant Service.
Mandatory Change. (a) Buyer shall promptly notify Seller upon becoming aware of a Change that is required as a result of Buyer identifying a service after the Effective Date that was provided by Seller or its Affiliates in the ordinary course during the twelve (12) month period immediately prior to the Effective Date and that is reasonably required by the Company to operate the business of the Company in the manner that the Company had been operated as of the Effective Date (each, a “Mandatory Change”).
(b) Upon receipt of notice of a Mandatory Change, Seller shall promptly implement such Mandatory Change and perform its obligations with respect to such Mandatory Change. To the extent that such Mandatory Change materially increases or decreases Seller’s cost to provide the Transition Services, the Parties shall negotiate an equitable adjustment to the Fees with respect to such increased or decreased cost calculated in accordance with Seller’s actual cost consistent with the historical practices of Seller and the Company.
Mandatory Change. If the results of the study indicate a cost impact to Seller of plus or minus 10%, the Seller will inform Buyer of said impact and Buyer and the Seller will mutually agree upon a modification to the material's pricing.
