Common use of Management of Partnership Clause in Contracts

Management of Partnership. The management, control and direction of the Partnership and its operations, business and affairs shall be vested exclusively in the General Partner, which shall have the right, power and authority, acting solely by itself and without the necessity of approval by the Limited Partner or any other person, to carry out any and all the purposes of the Partnership and to perform or refrain from performing any and all acts that the General Partner may deem necessary, desirable, appropriate or incidental thereto, subject only to the limitations contained in the Act and such further limitations as are expressly stated in this Agreement.

Management of Partnership. (a) The managementright to manage, control control, and direction conduct the business and affairs of the Partnership shall be vested solely in the General Partner. Except as provided in Section 8.01, the Limited Partners shall not take part in the management of the affairs of the Partnership and its operationsunder no circumstances may any Limited Partner control the Partnership business or sign for or bind the Partnership.
