Common use of Management by the Member Clause in Contracts

Management by the Member. The business and affairs of the Company shall be managed by the Member on behalf of the Company. The Member acting through its board of directors as provided in this Agreement, may delegate authority with regard to the conduct of the affairs of the Company to committees of the board of directors of Member, Company employees, contractors or agents of the Company, provided that the following actions shall require the express approval and authorization of the Member:

Management by the Member. The management of the property, business and affairs of the Company shall be managed by vested in the Member on behalf Member, who shall have full and complete authority, power, and discretion to (i) manage and control the affairs and other acts or activities of the Company. The Member acting through its board of directors 's business, (ii) perform any and all other acts customary or incident to such management, and (iii) take such other actions as provided in are authorized by this Agreement, may delegate authority with regard to Operating Agreement and the conduct of the affairs of the Company to committees of the board of directors of Member, Company employees, contractors or agents of the Company, provided that the following actions shall require the express approval and authorization of the Member:Act.

The Member may delegate functions to any employee, agent or officer of the Company.

Management by the Member. The business business, property and affairs of the Company shall be managed and all powers of the Company shall be exercised exclusively by or under the direction of the Member, which shall act as the Manager of the Company. Without limiting the generality of the foregoing, the Member shall have all powers necessary or appropriate to manage and carry out the purpose, business, property and affairs of the Company. Unless otherwise provided in the Certificate, the Member shall have the authority to take any action on behalf of the Company. The Member acting through its board of directors as provided , by a consent in this Agreementwriting, may delegate authority with regard to stating the conduct of the affairs of the Company to committees of the board of directors of Member, Company employees, contractors or agents of the Company, provided that the following actions shall require the express approval action so taken and authorization signed by an authorized officer of the Member:.
