Managed Devices Clause Samples

The Managed Devices clause defines the responsibilities and terms related to devices that are provided, maintained, or controlled by one party for use by another, typically within a business or service context. This clause outlines which devices are covered, the standards for their maintenance, and the obligations of each party regarding their use, security, and return. Its core practical function is to ensure clear expectations and accountability for the management and use of such devices, thereby reducing disputes and safeguarding both parties' interests.

Managed Devices. As part of this Service, CCI may provide you with one (1) or more managed devices which may include gateway/access routers, switches or IP phone sets (the “Managed Device(s)”). These Managed Devices will be managed by CCI as part of the Service. You are not authorized to use the Managed Devices for any purpose other than use in conjunction with the Service. Unless otherwise noted on the applicable Service Order, title to all Managed Devices remains with CCI or the applicable vendor, and all Managed Devices must be returned in the event of termination or non-renewal of the applicable Service Order(s). If you purchase any Managed Device(s) as set forth on a Service Order, CCI’s only obligation as to the Managed Device(s) is to provide maintenance and support as specifically provided in this Addendum. As set forth in the Agreement, CCI will use commercially-reasonable efforts to pass through (or to cause its applicable vendor to pass through) the manufacturer’s end-user warranty for purchased equipment (including Managed Devices) but otherwise sells all purchased equipment on an “AS-IS” and “AS-AVAILABLE” basis, with a specific disclaimer of any and all other warranties, express or implied. Installation of the Managed Devices may be performed by CCI or coordinated through a CCI-approved vendor as either remote or on-site and may require that you allow access to your premises to CCI or the approved vendor. Training on use of Managed Devices is available through the ProConnect Support Center. Additional training through paid training engagements will only be provided if noted on the applicable Service Order. Maintenance and Support of all Managed Devices are included in the quoted price for Service. However, you are responsible for ensuring the proper care of the Managed Devices in accordance with the equipment care provisions set forth in the Agreement and the terms of this Addendum, and CCI’s maintenance and support obligations will not extend to issues caused by your failure to care for the Managed Devices as required.
Managed Devices. The service credits as set forth below in this section apply exclusively to the failure of Lumen to meet an SLA goal for one or more managed devices that experienced an outage resulting directly from the managed devices. Credits are calculated as the percentage of MRCs for the managed devices that have failed ("Affected Device"). The Diagnose Reported Failure SLA goal applies to Lumen rental CPE provided for use by Customer solely in connection with the Service (“Lumen CPE”) and to Customer provided CPE. The Lumen Service Restoration SLA goal only applies to Lumen CPE. The time periods in the SLA goals are measured from the time a verifiable notification of the failure by Customer to Lumen, or when indicated by the Service monitoring tools, whichever is earlier, until a task to be completed under an SLA goal is completed by Lumen. Lumen’s trouble ticketing system will be the governing source of data for calculating SLA credits.
