Common use of Make-Whole Redemption Clause in Contracts

Make-Whole Redemption. The Notes shall be redeemable, at the option of Grupo Aval Limited or Grupo Aval, in whole or, subject to the next sentence, in part, at any time at a Redemption Price equal to the greater of (i) 100% of the outstanding principal amount of the Notes to be redeemed and (ii) the sum of the present values of the remaining scheduled payments of principal of and premium, if any, and interest on the Notes to be redeemed discounted to the Redemption Date on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the applicable Treasury Rate plus 50 basis points, in each case plus accrued and unpaid interest to the Redemption Date and any Additional Amounts. Notwithstanding the preceding sentence, any redemption of the Notes in part may not result in less than U.S.$250 million aggregate principal amount of Notes being Outstanding after such redemption.
