Maintenance of Plan and Compliance. The Issuer will agree to any amendments to the Trust Agreement requested by National so that (i) the Plan will at all times remain qualified under Section 401(a) of the Code, (ii) the Issuer will remain exempt from Federal taxes under Section 501(a) of the Code, and (iii) the Plan's status as a qualified employee stock ownership plan which complies with the requirements of Section 4975(e)(7) of the Code and the rules and regulations promulgated thereunder will be maintained. Notwithstanding the foregoing, at all times the Issuer will comply in all material respects with all requirements of the Plan, the Code, ERISA and any other law, rule or regulation applicable to the Issuer. In addition, upon the direction of National, the Issuer will comply with any conditions imposed by the Internal Revenue Service to obtain a favorable determination letter with respect to it, including any changes in the Trust Agreement that may be required for the issuance of said determination letter.

  • Repairs; Maintenance and Compliance Borrower shall at all times maintain, preserve and protect all franchises and trade names, and Borrower shall cause the Property to be maintained in a good and safe condition and repair and shall not remove, demolish or alter the Improvements or Equipment (except for alterations performed in accordance with Section 5.4.2 below and normal replacement of Equipment with Equipment of equivalent value and functionality). Borrower shall promptly comply with all Legal Requirements and immediately cure properly any violation of a Legal Requirement. Borrower shall notify Lender in writing within two (2) Business Days after Borrower first receives notice of any such non-compliance. Borrower shall promptly repair, replace or rebuild any part of the Property that becomes damaged, worn or dilapidated and shall complete and pay for any Improvements at any time in the process of construction or repair.

  • Litigation and Compliance There is no action, suit, investigation, litigation or proceeding against such Legal Entity pending or threatened before any court, governmental agency or arbitrator that challenges, or would reasonably be expected to have a material adverse effect on, the legality, validity or enforceability of this Agreement.
