Common use of Maintenance of Confidentiality Clause in Contracts

Maintenance of Confidentiality. Each Party shall use reasonable and customary precautions to safeguard the other Party’s Confidential Information, including ensuring that all employees, consultants, agents or contractors who are provided access to such Confidential Information are informed of the confidential and proprietary nature of such Confidential Information and have contractual confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreement.

Maintenance of Confidentiality. Each Party shall use reasonable and customary precautions to safeguard the other Party’s Confidential Information, including ensuring that all employees, consultants, agents agents, Subcontractors or contractors sublicensees who are provided access to such Confidential Information are informed of the confidential and proprietary nature of such Confidential Information and have contractual confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreement.

Each Party party shall use take at least those measures that it takes to protect its own confidential information of a similar nature, but in no case less than reasonable care, and customary precautions shall ensure that its employees who have access to safeguard Confidential Information of the other Party’s party are bound by an obligation of confidentiality substantially similar to the provisions hereof, prior to any disclosure of Confidential Information, including ensuring that all employees, consultants, agents or contractors who are provided access Information to such Confidential Information are informed of the confidential and proprietary nature of such Confidential Information and have contractual confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreementemployees.

Each Party To the extent permissible by law, each party agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use reasonable and customary precautions to safeguard of the Confidential Information of the other Party’s Confidential Informationparty. Each party shall reproduce the other party’s proprietary rights notices on any such approved copies, in this Agreementthe same manner in which such notices were set forth in or on the original.
