Common use of Maintenance of Confidentiality Clause in Contracts

Maintenance of Confidentiality. The receiving Party shall take at least those measures to protect the confidentiality of the Confidential Information of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses to protect its own confidential information of a similar nature, but not less than reasonable care.

Maintenance of Confidentiality. The receiving Receiving Party shall take at least those reasonable measures to protect the confidentiality secrecy of and avoid any unauthorized use or disclosure of the Confidential Information Information. Without limiting the foregoing, the Receiving Party shall use at least that degree of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses care that it takes to protect its own confidential information of a similar nature, but not in no event less than reasonable care. The Receiving Party will promptly notify the Disclosing Party in writing of any unauthorized use or disclosure of the Confidential Information of which it is aware.

Maintenance of Confidentiality. The receiving Party Recipient agrees to take reasonable measures to protect the secrets, and avoid disclusre and unauthorized use, of any of the Disclosing Party’s Confidential Information disclosed hereunder. Wihtout limiting the foregoing, each party shall take at least those measures that is/they take to protect the confidentiality of the Confidential Information of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses to protect its its/their own most highly confidential information of a similar nature, but not less than reasonable careinformation.

The receiving Party parties agree to take all reasonable measures to protect the secrecy of and prevent the disclosure and unauthorized use of the other party’s Confidential Information. Without limiting the foregoing, the recipient shall take at least those measures to protect that the confidentiality of the Confidential Information of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses recipient takes to protect its own confidential information Confidential Information. A recipient shall immediately notify the disclosing party in the event that it becomes aware of a similar nature, but not less than reasonable careany unauthorized use or disclosure of the disclosing party’s Confidential Information.

Without limiting the foregoing, the Receiving Party shall take at least those measures to protect the confidentiality of the Confidential Information of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses that it takes to protect its own most highly confidential information information. The Receiving Party shall reproduce any proprietary rights notices on any approved copies of a similar nature, but not less than reasonable careConfidential Information in the same manner in which such notices were set forth in or on the original.

The receiving Party Recipient agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Disclosing Party’s Confidential Information. Without limiting the foregoing, Recipient shall take at least those measures to protect the confidentiality of the Confidential Information of the disclosing Party, and to prevent unauthorized use of such Confidential Information, as the receiving Party uses that it takes to protect its own most highly confidential information and shall ensure that its agent, representatives, and employees who have access to Disclosing Party’s Confidential Information have been informed of a similar nature, but not less than reasonable careand agree to be bound by the terms of this Agreement.

The receiving Receiving Party agrees that it shall take at least those all reasonable measures to protect the confidentiality secrecy of and avoid disclosure and unauthorized use of the Confidential Information of the disclosing Party, and to prevent unauthorized use of Disclosing Party but such Confidential Information, as the receiving Party uses to protect its own confidential information of a similar nature, but not measures shall be no less than a reasonable degree of care.
