Common use of Long Stop Date Clause in Contracts

Long Stop Date. In the event that any condition to the First Closing hereunder is not fulfilled or waived within sixty (60) days of the signing of this Agreement, this Agreement shall terminate. Notwithstanding any termination of this Agreement, the obligations of the parties specified in Section 6, Section 9.3, Section 9.4 and Section 9.7 shall continue unimpaired and in full force and effect, and such termination shall not relieve any party from any liability hereunder for any misrepresentation or for the breach of any warranty, agreement or obligation hereunder.
