Common use of Lockboxes Clause in Contracts

Lockboxes. Upon request of the Administrative Agent after the occurrence and during the continuance of a Default, each Grantor shall execute and deliver to the Administrative Agent irrevocable lockbox agreements in the form provided by or otherwise acceptable to the Administrative Agent, which agreements shall be accompanied by an acknowledgment by the bank where the lockbox is located of the Lien of the Administrative Agent granted hereunder and of irrevocable instructions to wire all amounts collected therein to a special collateral account at the Administrative Agent.

Lockboxes. Upon request of the Administrative Agent at any time after the occurrence and during the continuance of a an Event of Default, each Grantor Company shall execute and deliver to the Administrative Agent Administrative Agent's standard form of irrevocable lockbox agreements in agreement and notify the form provided by or otherwise acceptable obligors on the Receivables to the Administrative Agent, which agreements shall be accompanied by an acknowledgment by the bank where the lockbox is located of the Lien of the Administrative Agent granted hereunder and of irrevocable instructions make payments thereon to wire all amounts collected therein to a special collateral account at the Administrative Agentsuch lockbox.

Upon request of the Administrative Agent after the occurrence and during the continuance of a Default or Unmatured Default, each Grantor the Borrower shall execute and deliver to the Administrative Agent irrevocable lockbox agreements in the form provided by or otherwise acceptable to the Administrative Agent, which agreements shall be accompanied by an acknowledgment by the bank where the lockbox is located of the Lien of the Administrative Agent granted hereunder and of irrevocable instructions to wire all amounts collected therein to a special collateral account at the Administrative Agent.

Upon request of the Administrative Agent after the occurrence and during the continuance of a Default, each Grantor Guarantor shall execute and deliver to the Administrative Agent irrevocable lockbox agreements in the form provided by or otherwise acceptable to the Administrative Agent, which agreements shall be accompanied by an acknowledgment by the bank where the lockbox is located of the Lien of the Administrative Agent granted hereunder and of irrevocable instructions to wire all amounts collected therein to a special collateral account at the Administrative Agent.

Upon request of the Administrative Agent after following the occurrence and during the continuance of a DefaultPayment Event of Default or Acceleration Event, each Grantor shall execute and deliver to the Administrative Agent irrevocable lockbox agreements in the form provided by or otherwise acceptable to the Administrative Agent, which agreements shall be accompanied by an acknowledgment by the bank where the lockbox is located of the Lien of the Administrative Agent granted hereunder and of irrevocable instructions to wire all amounts collected therein to a special collateral account at with the Administrative Agent.
