If the Convertible Debentures are to be distributed to the holders of the Trust Preferred Securities issued by the Trust upon a Dissolution Event, the Company will use its best efforts to list such Convertible Debentures on the New York Stock Exchange, Inc. or on such other exchange as the Trust Preferred Securities are then listed.
