Common use of Listing on an Exchange Clause in Contracts

If the Debentures are distributed to the holders of the Securities issued by the Trust, and the Preferred Securities are then so listed, the Company will use its best efforts to list such Debentures on the New York Stock Exchange, Inc. or on such other exchange as the Preferred Securities are then listed.

Exchange or on such other securities exchange or automated quotation system as the Trust Preferred Securities are then listedwere listed or traded immediately prior to the distribution of the Debentures.

If the Debentures are distributed to the registered holders of the Preferred Securities issued by the Trust, and the Preferred Securities are then so listed, the Company will use its best efforts to list such Debentures on the New York Stock Exchange, Inc. or on such other exchange or quotation system as the Preferred Securities are then listedlisted or quoted.

If the Convertible Debentures are to be distributed to the holders of the Trust Preferred Securities issued by the Trust, and the Preferred Securities are then so listedTrust upon a Dissolution Event, the Company will use its reasonable best efforts to list such Convertible Debentures on the New York Stock Exchange, Inc. or on such other national securities exchange or similar organization as the Trust Preferred Securities are then listed.

If the Debentures are distributed to the holders of the Securities issued by the Trust, and the Preferred Securities are then so listed, the Company will use its best efforts to list such Debentures on the New York Stock Exchange, Inc. Exchange or on such other exchange as the Preferred Securities are then listed.
