Common use of Limited Duties Clause in Contracts

Limited Duties. Under the Loan Documents, the Administrative Agent (i) is acting solely on behalf of the Lenders and the L/C Issuers (except to the limited extent provided in Section 2.14(b) with respect to the Register and in Section 10.11), with duties that are entirely administrative in nature, notwithstanding the use of the defined term “Administrative Agent”, the terms “agent”, “administrative agent” and “collateral agent” and similar terms in any Loan Document to refer to the Administrative Agent, which terms are used for title purposes only, (ii) is not assuming any obligation under any Loan Document other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer or any other Secured Party and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan Document, and each Lender and L/C Issuer hereby waives and agrees not to assert any claim against the Administrative Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through (iii) above.

Under the Loan Documents, the Administrative Agent Agents (i) is are acting solely on behalf of the Lenders and the L/C Issuers (except to the limited extent provided in Section 2.14(bsubsection 1.4(b) with respect to the Register and in Section 10.11Register), with duties that are entirely administrative in nature, notwithstanding the use of the defined term “Administrative Agent”, “US Agent” or “Canadian Agent” the terms “agent”, “administrative agentAgent”, “US Agent”, “Canadian Agent” and “collateral agent” and similar terms in any Loan Document to refer to the Administrative Appropriate Agent, which terms are used for title purposes only, (ii) is not assuming any obligation under any Loan Document other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer or any other Secured Party Person and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan Document, and each Lender and L/C Issuer Secured Party, by accepting the benefits of the Loan Documents, hereby waives and agrees not to assert any claim against the Administrative any Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through (iii) above.

Limited Duties. Under the Loan Documents, each of the Administrative Agent Agents (i) is acting solely on behalf of the Lenders or the Revolving Lenders and the L/C Issuers Issuers, as applicable (except to the limited extent provided in Section 2.14(bsubsection 1.4(b) with respect to the Register and in Section 10.11Register), with duties that are entirely administrative in nature, notwithstanding the use of the defined term terms “Administrative Agent”, ” and “Revolver Agent” or the terms “agent”, “administrative agent” and “collateral agent” and similar terms in any Loan Document to refer to the Administrative Agent or Revolver Agent, as applicable, which terms are used for title purposes only, (ii) is not assuming any obligation under any Loan Document other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer or any other Secured Party Person and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan Document, and each Lender and L/C Issuer Secured Party by accepting the benefits of the Loan Documents hereby waives and agrees not to assert any claim against the Administrative Agent or the Revolver Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through (iii) above.

Limited Duties. Under the Loan Documents, each of the Administrative Agent Agents (i) is acting solely on behalf of the Secured Parties (or the Revolving Lenders and the L/C Issuers (with respect to the Administrative Agent except to the limited extent provided in Section 2.14(b11.06(c) with respect to the Register and in Section 10.11Register), with duties that are entirely administrative in nature, notwithstanding the use of the defined term “Administrative Agent”, ” or the terms “agent”, “administrative agentAgent” and “collateral agent” and similar terms in any Loan Document to refer to the Administrative Agent, which terms are used for title purposes only, (ii) is not assuming and shall not have any obligation actual or implied obligations, functions, responsibilities, duties, under any Loan Document other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer Secured Party or any other Secured Party and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan DocumentPerson, and each Lender and L/C Issuer Secured Party, by accepting the benefits of the Loan Documents, hereby waives and agrees not to assert any claim against the Administrative Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through and (iiiii) above.

Limited Duties. Under the Loan DocumentsDocuments and Lender Interest Letters, the Administrative Agent (i) is acting solely on behalf of the Lenders and the L/C Issuers (except to the limited extent provided in Section 2.14(b) with respect to the Register and in Section 10.1110.6), with duties that are entirely administrative in nature, notwithstanding the use of the defined term “Administrative Agent”, the terms “agent”, “administrative agent” and “collateral agent” and similar terms in any Loan Document or any Lender Interest Letter to refer to the Administrative Agent, which terms are used for title purposes only, (ii) is not assuming any obligation under any Loan Document or any Lender Interest Letter other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer Lender or any other Secured Party and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan DocumentDocument or any Lender Interest Letter, and each Lender and L/C Issuer hereby waives and agrees not to assert any claim against the Administrative Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through (iii) above.

Under the Loan Documents, the Administrative Agent (i) is acting solely on behalf of the Lenders and the L/C Issuers Issuers, as applicable (except to the limited extent provided in Section 2.14(b) with respect to the Register and in Section 10.11), with duties that are entirely administrative in nature, notwithstanding the use of the defined term “Administrative Agent”, the terms “administrative agent”,” “agent”, “administrative agent” and “collateral agent” and similar terms in any Loan Document to refer to the Administrative Agent, which terms are used for title purposes only, (ii) is not assuming any obligation under any Loan Document other than as expressly set forth therein or any role as agent, fiduciary or trustee of or for any Lender, L/C Issuer or any other Secured Party and (iii) shall have no implied functions, responsibilities, duties, obligations or other liabilities under any Loan Document, and each Lender and L/C Issuer hereby waives and agrees not to assert any claim against the Administrative Agent based on the roles, duties and legal relationships expressly disclaimed in clauses (i) through (iii) above.167 [[5286738]]
