The Trustees Board members of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Sub-Advisory Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Sub-Advisory Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees Board members of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisoradviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund each Portfolio shall not be liable for any obligations of the Trust or of the Fund Portfolios under this Agreement, and the Sub-advisor Administrator agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Portfolio to which the Sub-advisorAdministrator's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundPortfolios.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor agrees Advisers agree that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Fund(s) to which the Sub-advisor's Advisers' rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations obligation of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor agrees Manager and the Adviser agree that, in asserting any rights or claims in connection with any obligation of the Trust or of the Funds under this Agreement, it they shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorManager's or Adviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund Funds shall not be personally liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Investment Manager agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Investment Manager’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Administrator agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdministrator's rights or claims relate in settlement of such rights or claims, and not to the Trustees trustees of the Trust or Trust, the shareholders of the FundFunds, or any Fund other than the Fund to which the Administrator's rights or claims relate.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Growth and Income Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust Trust's Trustees, in their individual capacities, and the a Fund's shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust Trust, in their individual capacities, or the shareholders of the FundFund shareholders.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees and officers of the Trust and the shareholders of the a Fund shall will not be personally liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Adviser agrees that, that in asserting any rights or claims under this Agreement, it shall will look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

The Trustees trustees, officers, employees and agents of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Distributor agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's its rights or claims relate in settlement of such rights or claims, and not to the Trustees trustees, officers, employees and agents of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor FAdS agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorFAdS's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees members of the Trust Board and the shareholders of the a Fund shall not be liable under this Agreement for any obligations of the Trust Trust, any Fund or any other series of the Fund under this AgreementTrust, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Subadviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property properly of the Trust or the Fund to which the Sub-advisorSubadviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor agrees Adviser agree that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Fund(s) to which the Sub-advisor's Adviser' rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Distributor agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorDistributor's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or Trust, the shareholders of the Funds, or any other Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be personally liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or Fund (or to the Fund Trust's service providers) to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Transfer Agent agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorTransfer Agent's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Subadviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Subadvise"s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Foreside agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Foreside’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be personally liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund Funds shall not be liable for any obligations of the Trust or of the Fund any Funds under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Funds to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreementthe Plan, and the Sub-advisor Distributor agrees that, in asserting any rights or claims under this AgreementPlan, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorDistributor's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Subadministrator agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorSubadministrator's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Tactical Allocation Manager agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Tactical Allocation Manager’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be directly liable for any obligations of the Trust or of the Fund under this Agreement, and without prejudice to Section 6 hereof, the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the such Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund a Funds under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the any Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust Trust's Trustees, in their individual capacities, and the Fund shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust Trust, in their individual capacities, or the shareholders of the FundFund shareholders.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Administrator agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdministrator's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The To the extent applicable, the Trustees of the Trust and the shareholders of the Fund Funds shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Subadviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the applicable Fund to against which the Sub-advisor's Subadviser’s rights or claims relate in settlement of such rights or claimsclaims against such Fund, and not to the Trustees of the Trust or the shareholders of the FundFund or any other series of the Trust.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Administrator agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Funds to which the Sub-advisorAdministrator's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund under this Agreement, and the Sub-advisor Xxxxxxxx Advisors agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Xxxxxxxx Advisors' rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund shall not be personally liable for any obligations of the Trust or of the Fund any other series thereof under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Adviser’s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of any other series of the FundTrust.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisor's Advise"s rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not not, absent their own criminal or intentional misconduct or fraud, be liable for any obligations of the Trust or of the any Fund under this Agreement, and the Sub-advisor Adviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorAdviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the any Fund.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the each Fund shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreementthe Plan, and the Sub-advisor Distributor agrees that, in asserting any rights or claims under this AgreementPlan, it shall look only to the assets and property of the Trust or the Fund to which the Sub-advisorDistributor's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.

LIMITATION OF SHAREHOLDER AND TRUSTEE LIABILITY. The Trustees of the Trust and the shareholders of the Fund Funds shall not be liable for any obligations of the Trust or of the Fund Funds under this Agreement, and the Sub-advisor Subadviser agrees that, in asserting any rights or claims under this Agreement, it shall look only to the assets and property of the Trust or the Fund Funds to which the Sub-advisorSubadviser's rights or claims relate in settlement of such rights or claims, and not to the Trustees of the Trust or the shareholders of the FundFunds.
