Common use of Licenses and Authorizations Clause in Contracts

Licenses and Authorizations. All Permits required to own the Acquired Assets and to conduct the business of the Publications are held by Sellers and are in full force and effect with no violations of any of them having occurred except for any such violations which would not, individually or in the aggregate, have or be reasonably expected to have a Material Adverse Effect. All such material Permits known by Sellers without further inquiry are listed in Schedule 3.7. Prior to the Closing, Sellers shall update Schedule 3.7 to include all material Permits. Except as disclosed in Schedule 3.7, no proceeding is pending or, to the knowledge of Sellers, threatened, seeking the suspension, revocation, modification, cancellation or limitation of any such Permit and, to the knowledge of Mxxxxx Communications and Sellers, there is no basis for taking any such action.
