Common use of Licensed IP Clause in Contracts

Licensed IP. Subject to the terms and conditions of this Agreement, Company hereby grants to Transferee an exclusive (even as to the Company), fully paid-up, and royalty-free (except for the Fixed Payment), irrevocable (except as provided in Section 11, below), assignable, and sublicensable (subject to the provisions of Section 2.6, below) license under the Licensed IP to Develop and Commercialize Covered Products in and for the Field and solely in the Territory.

Licensed IP. Subject to the terms and conditions of this Agreement, the Company hereby grants to the Transferee an exclusive (even as to the Company), fully paid-up, up and royalty-free (except for the Fixed Payment), irrevocable (except as provided in Section 11Sections 11 and 2.3(c), below), assignableassignable (in accordance with Section 13.2 below), and sublicensable (subject to the provisions of Section 2.6, below) license under the Licensed IP to Develop and Commercialize Covered Products in and for the Field and solely in the Territory.

Licensed IP. Subject to the terms and conditions of this Agreement, Company hereby grants provides to Transferee an exclusive (even as to the Company), fully paid-up, paid up and royalty-royalty free license (except for the Fixed Payment), which shall be irrevocable (except as provided set forth in Section 11, 11 below), assignable, and sublicensable including the right to grant and authorize sublicenses (subject to the provisions of the License Agreement) and other Third Party Agreement and Section 2.62.1(f), below) license below under the Licensed IP to Develop and Commercialize Covered Products in and for the Field and solely in the Territory.
