Liability of Subsidiary for Certain Transactions. Notwithstanding anything to the contrary in this Agreement, Subsidiary and each Subsidiary Affiliate shall be responsible for one hundred percent (100%) of any Tax-Related Losses that are attributable to, or result from any acquisition of stock of Subsidiary or any Subsidiary Affiliate by any person or persons (including, without limitation, as a result of an issuance of Subsidiary stock or a merger of another entity with and into Subsidiary or any Subsidiary Affiliate) or any acquisition of assets of Subsidiary or any Subsidiary Affiliate (including, without limitation, as a result of a merger) by any person or persons. Subsidiary and each Subsidiary Affiliate shall jointly and severally indemnify FMC, each FMC Affiliate and their directors, officers and employees and hold them harmless from and against any such Tax-Related Losses.
