Laycan. Not less than thirty (30) days before the start of each calendar quarter, the Parties will agree on the number of shipments, 10-day laycan and guaranteed load rate for each shipment for that calendar quarter. Not less than fifteen (15) days prior to the first day of the 10-day laycan period, Buyer shall narrow such laycan period to four (4) days within such 10-day laycan period. In the event that the Buyer wishes to ship in a vessel larger or smaller than a 70,000 to 80,000 MT +/-10% vessel, the Parties will agree on this at that time. Any additional costs incurred as a result of the use of a larger or smaller vessel will be borne by Buyer and will be agreed by the Parties at that time.

Laycan. Buyer shall give written notice to Seller of the proposed 15 (fifteen) day laycan for each shipment at least 10 (ten) calendar days prior to the first day of the laycan. Seller shall confirm the proposed laycan within 2 (two) Business Days, otherwise Seller shall be deemed to have accepted such proposed laycan. Vessel Nomination Buyer shall nominate the vessel 5 (five) calendar days prior to the vessel’s Estimated Time of Arrival (“ETA”) at the load port. Buyer shall notify the Seller of the following details in writing:

During these visits: • You will learn how the LIFE Program works, the services LIFE offers, and the answers to any questions you may have about LIFE. • The LIFE Provider and/or Independent Enrollment Broker will explain that if you enroll, you must agree that all of your healthcare services will be provided and/or coordinated by LIFE, including primary care and specialist physician services (other than emergency services). • The LIFE Provider will have you sign a release allowing the LIFE Provider to obtain your past medical records so the LIFE health team can fully assess your health conditions. You will be encouraged to visit the LIFE Center to see what it is like. If you are interested in enrolling, a LIFE Provider representative and the Independent Enrollment Broker will assist you with the enrollment process. You should be prepared to participate in phone calls and/or visits with both the LIFE Provider and Independent Enrollment Broker in order to complete your enrollment process.
