Common use of Landlord Notice Obligation Clause in Contracts

Landlord Notice Obligation. Landlord shall give prompt Notice to Tenant and the Manager of any matters affecting the Leased Property of which Landlord receives written notice or actual knowledge and, to the extent Tenant otherwise has no notice or actual knowledge thereof, Landlord shall be liable for any liabilities, costs, damages or claims (including reasonable attorneys' fees) arising from the failure to deliver such Notice to Tenant. Landlord shall not amend any material agreement affecting the Leased Property without Tenant's prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed.

Landlord shall not amend any material Ground Lease, the Management Agreements or any other agreement affecting the Collective Leased Property Properties without Tenant's prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed.
