The Joint Lead Managers clause defines the roles and responsibilities of multiple parties who jointly manage a financial transaction, such as an underwriting or syndication. Joint Lead Managers. CBA Markets, ▇▇▇▇▇▇▇ ▇▇▇▇▇, ANZ Securities Limited, ▇.▇. ▇▇▇▇▇▇ Australia Limited, Morgans Financial Limited, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ Australia Securities Limited, UBS AG, Australia Branch, and Westpac Institutional Bank (each a JLM) agree to act as joint lead managers including providing certain settlement support in respect of their respective firm allocations.
Joint Lead Managers. Where there is more than one Lead Manager or there are Joint Bookrunners, any reference in this Agreement to the “Lead Manager” shall be construed:
(1) where the Confirmation to Managers or the Subscription Agreement expresses an activity to be exercisable by one or more of the Lead Managers or Joint Bookrunners, in relation to that activity, to that/those Lead Manager(s) or Joint Bookrunner(s); and
(2) in all other cases, as a reference to each of the Lead Managers or Joint Bookrunners and so that any right, discretion or authority shall be carried out by them jointly. Where there is any conflict between the Subscription Agreement, the Confirmation to Managers and this Agreement in relation to the roles of joint Lead Managers or Joint Bookrunners, the Subscription Agreement will prevail.
Joint Lead Managers. The Company hereby confirms and acknowledges its appointment, to the exclusion of all others, of the Joint Lead Managers to act as the joint lead managers of the Hong Kong Public Offering and the International Placing in accordance with the terms and conditions of the respective Engagement Letters or the CMI Engagement Letters, and each of the Joint Lead Managers relying on the Warranties and subject to the terms and conditions of this Agreement, hereby severally (and not jointly or jointly and severally) confirms and acknowledges its acceptance of such appointment.
Joint Lead Managers. The Company hereby confirms and acknowledges its appointment, to the exclusion of all others, of Huatai, Zhongtai International Securities Limited, Eddid Securities and Futures Limited, BOCOM International Securities Limited, and Livermore Holdings Limited to act as the joint lead managers of the Global Offering, and each of Huatai, Zhongtai International Securities Limited, Eddid Securities and Futures Limited, BOCOM International Securities Limited, and Livermore Holdings Limited, relying on the Warranties and subject as hereinafter mentioned, hereby confirms its acceptance of such appointment.
Joint Lead Managers. The responsibilities of the Joint Lead Managers are as follows:
1) The Joint Lead Managers have accepted the formal written delegation by the Borrower to the Joint Lead Managers regarding the preparation and formation of the syndicate on September 21, 2000. The Joint Lead Managers, based on such written delegation, make invitations to their peers in the business with regard to organizing the bank syndicate;
2) Delivering invitations to the peers with regard to organizing the bank syndicate, information memorandum, and other related materials the Joint Lead Managers deem necessary, specifying the deadline for feedback and collecting their respective feedback;
3) Retaining lawyers for the bank syndicate;
4) Organizing and arranging the negotiation, preparation, and execution of this Agreement; and
Joint Lead Managers. The Company hereby confirms and acknowledges the appointments, to the exclusion of all others, of Huatai, CLSA, CMB International, BOCI Asia Limited, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ Securities (H.K.) Limited, First Shanghai Securities Limited, Fosun International Securities Limited, I Win Securities Limited, Livermore Holdings Limited, TradeGo Markets Limited, Wanhai Securities (HK) Limited and Winbull Securities International (Hong Kong) Limited as the Joint Lead Managers of the Global Offering, and Huatai, CLSA, CMB International, BOCI Asia Limited, Shenwan Hongyuan Securities (H.K.) Limited, First Shanghai Securities Limited, Fosun International Securities Limited, I Win Securities Limited, Livermore Holdings Limited, TradeGo Markets Limited, Wanhai Securities (HK) Limited and Winbull Securities International (Hong Kong) Limited relying on the Warranties and subject as hereinafter mentioned, hereby confirm their acceptance of such appointment.

The Company hereby confirms and acknowledges its appointment, to the exclusion of all others, of CICC, CITI (in relation to the Hong Kong Public Offering), Citigroup Global Markets Limited (in relation to the International Offering), China Everbright Securities (HK) Limited, BOCI Asia Limited, ABCI Securities Company Limited, China Galaxy International Securities (Hong Kong) Co., Limited, CMBC Securities Company Limited, ICBC International Securities Limited, CMB International Capital Limited, Citrus Securities Limited and Valuable Capital Limited to act as the joint lead managers of the Global Offering, and each of CICC, CITI (in relation to the Hong Kong Public Offering), Citigroup Global Markets Limited (in relation to the International Offering), China Everbright Securities (HK) Limited, BOCI Asia Limited, ABCI Securities Company Limited, China Galaxy International Securities (Hong Kong) Co., Limited, CMBC Securities Company Limited, ICBC International Securities Limited, CMB International Capital Limited, Citrus Securities Limited and Valuable Capital Limited, relying on the Warranties and subject as hereinafter mentioned, hereby confirms its acceptance of such appointment. For the avoidance of doubt, the appointment of the Joint Lead Managers hereunder is in addition to their engagement under the terms and conditions of their respective engagement letters in respect of the Global Offering entered into among them and the Company, which shall continue to be in full force and effect.
Joint Lead Managers. The Company hereby confirms and acknowledges its appointment, to the exclusion of all others, of GTJA Securities, ABCI Securities, PA Securities, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and TradeGo to act as the Joint Lead Managers. Each of GTJA Securities, ABCI Securities, PA Securities, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and TradeGo, relying on the Warranties and subject as hereinafter mentioned, hereby confirms its acceptance of such appointment. For the avoidance of doubt, the appointment of the Joint Lead Managers hereunder is in addition to their engagement under the terms of the agreements entered into between each of the Joint Lead Managers and the Company prior to this Agreement, which shall remain in full force and effect, save that if any term in such agreements solely in respect of fees, costs, expenses and disbursements are inconsistent with this Agreement, this Agreement shall prevail.
