Common use of JOINT ESCROW INSTRUCTIONS Clause in Contracts

JOINT ESCROW INSTRUCTIONS. This Agreement shall constitute joint escrow instructions to Escrow Agent. In addition, the parties shall execute and be bound by such reasonable and customary escrow instructions as may be necessary or reasonably required by Escrow Agent or by either party in order to consummate the purchase and sale, provided that such escrow instructions are consistent with the terms hereof. The parties designate Escrow Agent as the “Reporting Person” for this transaction pursuant to Section 6045(e) of the Internal Revenue Code of 1986, as amended, and the regulations hereunder.

In addition, the parties shall execute and be bound by such reasonable and customary additional escrow instructions as may be necessary or reasonably required by Escrow Agent or by either party in order to consummate the purchase and sale, provided that such escrow instructions which are consistent with the terms hereofprovisions of this Agreement as may reasonably be required by escrow. The parties designate Escrow Agent as the “Reporting Person” for this transaction pursuant to Section 6045(e) escrow officer shall promptly notify Buyer and Seller of the Internal Revenue Code of 1986, date the escrow is opened. The Parties shall furnish to the escrow such other information as amended, and is reasonably required by the regulations hereunderescrow officer.
