ISGI Sample Clauses
The ISGI (Indemnity, Subrogation, Guarantee, and Insurance) clause outlines the allocation of risk and responsibility among parties in a contract, particularly regarding losses, damages, or liabilities. It typically specifies which party must provide indemnification, the rights of subrogation (allowing one party to step into the shoes of another to recover losses), requirements for maintaining insurance coverage, and any guarantees provided. For example, a contractor may be required to indemnify the client against third-party claims and maintain certain insurance policies. The core function of this clause is to clearly define how financial risks are managed and transferred, thereby reducing uncertainty and potential disputes between the parties.
