Invalidity of Guaranty, etc. The Guaranty shall cease to be in full force and effect with respect to any Guarantor, any Guarantor shall fail (subject to any applicable grace period) to comply with or to perform any applicable provision of the Guaranty, or any Guarantor (or any Person by, through or on behalf of such Guarantor) shall contest in any manner the validity, binding nature or enforceability of the Guaranty with respect to such Guarantor.
Invalidity of Guaranty, etc. The Guaranty shall cease to be in full force and effect with respect to any Subsidiary, other than by virtue of the release of such Subsidiary after sale thereof in a transaction permitted hereunder or the voluntary dissolution of an immaterial Subsidiary; or any Subsidiary (or any Person by, through or on behalf of such Subsidiary) shall contest in any manner the validity, binding nature or enforceability of the Guaranty with respect to such Subsidiary.
Invalidity of Guaranty, etc. The Guaranty shall cease to be in full force and effect with respect to any Subsidiary party thereto, other than by virtue of the release of such Subsidiary after sale thereof in a transaction permitted hereunder; or any Subsidiary (or any Person by, through or on behalf of such Subsidiary) shall contest in any manner the validity, binding nature or enforceability of the Guaranty with respect to such Subsidiary; or the provisions of Section 14 shall cease to be in full force and effect with respect to the Company; or the Company (or any Person by, through or on behalf of the Company) shall contest in any manner the validity, binding nature or enforceability of the provisions of Section 14.
Invalidity of Guaranty, etc. Either Guaranty shall cease to be in full force and effect with respect to any Guarantor (other than (a) in the case of an Individual Guarantor, as a result of the occurrence of the Release Date, and (b) in the case of a Subsidiary, as a result of a transaction permitted hereunder), any Guarantor shall fail (subject to any applicable grace period) to comply with or to perform any applicable provision of the Guaranty to which such Guarantor is a party, or any Guarantor (or any Person by, through or on behalf of such Guarantor) shall contest in any manner the validity, binding nature or enforceability of the Guaranty to which such Guarantor is a party.

Invalidity of Guaranty, etc. Any Guaranty (except a Guaranty that is determined to be unenforceable solely because of a final determination that consideration was required to support said Guaranty and that the consideration, if any, for said Guaranty was insufficient) shall cease to be in full force and effect with respect to any Guarantor, any Guarantor shall fail (subject to any applicable grace period) to comply with or to perform any applicable provision of any Guaranty, or any Guarantor (or any Person by, through or on behalf of such Guarantor) shall contest in any manner the validity, binding nature or enforceability of any Guaranty with respect to such Guarantor.
Invalidity of Guaranty, etc. The Guaranty is for any reason revoked or invalidated, or otherwise ceases to be in full force and effect, by or with respect to any Guarantor, or any Guarantor (or any Person acting on behalf of any Guarantor) contests in any manner the validity or enforceability of the Guaranty against such Guarantor or denies that such Guarantor has any further liability under the Guaranty (except, in each case described above, as result of a Guarantor ceasing to be an Affiliate of New Dreyer's pursuant to a transaction permitted hereunder).
Invalidity of Guaranty, etc. The Subsidiary Guaranty ceases to be in full force and effect with respect to any Material Domestic Subsidiary, or any Material Domestic Subsidiary contests the validity thereof.

Invalidity of Guaranty, etc. The Guaranty shall cease to be in full force and effect with respect to any Guarantor, any Guarantor shall fail (subject to any applicable grace period) to comply with or to perform any applicable provision of the Guaranty, or any Guarantor (or any Person by, through or on behalf of such Guarantor) shall contest in any manner the validity, binding nature or enforceability of the Guaranty with respect to such Guarantor; PROVIDED, HOWEVER, that this SECTION 12.1.9 shall not apply to any Guarantor which ceases to exist pursuant to SECTION 10.11.
