Interim arrangement. In the event that the Authority does not appoint an Independent Engineer, or the Independent Engineer so appointed has relinquished its functions or defaulted in discharge thereof, the Authority may, in the interim, designate and authorize any person to discharge the functions of the Independent Engineer in accordance with the provisions of this Agreement, save and except that such person shall not exercise any functions relating to review, comment, approval or inspection as specified in this Agreement for and in respect of the Independent Engineer, and such functions shall be discharged as and when an Independent Engineer is appointed in accordance with the provisions of this Agreement. Provided, however, that nothing contained in this Clause 21.7 shall in any manner restrict the rights of the Authority to enforce compliance of the provisions of this Agreement. The Parties acknowledge that the application of Clauses 11.4.1 and 11.4.2 has been limited to named companies pending resolution of how (if at all) restrictions on Weighted Votes should apply to Generators with second tier supply businesses and to Suppliers with an interest in a generation business. The Parties agree to use all reasonable endeavours to reach an agreed resolution to this issue and to amend this Agreement to give effect thereto no later than 31st March, 1994 (or such later date as the Executive Committee may decide).

Interim arrangement. TCI Music and BOX agree to negotiate in good faith to arrive at a definitive agreement dealing with the matters addressed herein. Until such agreement is executed, (i) the provisions of the Term Sheet will be legally binding upon the parties and their successors, (ii) all references herein to the Agreement will be deemed to be references to this Term Sheet, and (iii) the provisions of Article X of the Merger Agreement (except Sections 10.1 and 10.5) are incorporated herein and deemed to be a part hereof. Interim arrangement. 8.1 In the interim of the contract, Party A shall have the goodwill management duty to the target enterprise and its assets. Party A shall ensure and enhance normal operation of the target enterprise and notify Party B of any serious adverse impact of the target enterprise in the interim in a timely way and dispose the impact properly.

AHI shall be the underwriting ------------------- facility for new and renewing Program Policies in the Covered States on and after the Effective Date, with the exception of those policies that continue to be underwritten by CNA, and reinsured by AHI and its Affiliates, in one or more Covered States, pending AHI obtaining required or appropriate policy form and rate approvals in such state or states pursuant to Section 2.2.1. For purposes of this Agreement, policies subject to such reinsurance agreement shall be considered Program Policies.
