Common use of Interference with Business Clause in Contracts

Interference with Business. As a material inducement to the Company to enter into this Agreement, the Executive agrees that for a period of one year beyond the date of Executive’s termination from engagement for whatever reason, the Executive shall not, directly or indirectly, for himself or on behalf of any person, firm, partnership or corporation, or otherwise, (a) induce or attempt to induce any customer, supplier, licensee or business relation to cease doing business with the Company, or in any way interfere with the relationship between any customer, supplier, licensee or business entity and the Company; or (b) disparage the Company.

As a material inducement to Consistent with Executive’s obligations under the Company to enter into this Proprietary Information Agreement, the Executive agrees that shall not for a period of one (1) year beyond the date of following Executive’s termination from engagement of employment for whatever any reason, the Executive shall not, directly or indirectlyindirectly solicit, for himself induce, recruit or on behalf encourage any officer, director, employee, independent contractor or consultant of any person, firm, partnership the Company who was employed by or corporation, affiliated with the Company at the time of termination to leave the Company or otherwise, (a) induce terminate his or attempt to induce any customer, supplier, licensee her employment or business relation to cease doing business relationship with the Company. Executive agrees not to make, publish or in communicate at any way interfere with the relationship between time to any customer, supplier, licensee person or business entity and the Company; or (b) disparage the Company.in
