Interchange Settlement. FDR and Customer agree that they will handle and settle Interchange Settlement pursuant to the terms and conditions governing Interchange Settlement as set forth in Exhibit F.
Interchange Settlement. FDR and Customer agree that Sponsor Banks will handle and settle Interchange Settlement pursuant to the terms and conditions governing Interchange Settlement as set forth in the Sponsor Bank Agreements. Upon the request of FDR, Customer shall pay FDR any amount due to FDR pursuant to a Sponsor Bank Agreement that has not been paid by a Sponsor Bank. For the avoidance of doubt, the parties acknowledge and agree that FDR and Sponsor Banks will handle and settle Interchange Settlement only for so long as Customer is processing through the MasterCard or VISA organizations and that it will be necessary to amend this Agreement if at any time Customer desires to process through a Network.
Interchange Settlement. In order for First Data to provide its Services to RFS pursuant to the Agreement, it is necessary for First Data to handle and settle for RFS through the international interchange networks of card associations. RFS shall provide ICA and BIN numbers from the respective card associations for use by First Data in the settlement of transactions for RFS. RFS understands that First Data handles the interchange settlement with the card associations for its clients including RFS on a net settlement basis. To facilitate the settlement system, First Data has established, will establish or will direct RFS to establish and may in the future establish or direct RFS to establish, one or more interchange settlement central clearing accounts at one or more banks.
