Common use of Intellectual Property and Confidentiality Clause in Contracts

Intellectual Property and Confidentiality. 3.1 Party A shall have exclusive and proprietary rights and interests to all the rights, ownership, interests and intellectual property rights arising from or created by either Party as a result of its performance of this Agreement, including but not limited to copyright, patent, patent application rights, trademark rights, software, technical secrets, trade secrets and other intellectual properties.

Intellectual Property and Confidentiality. 3.1 Party A has exclusive rights and interests of any right, interest, ownership, intellectually property, including, without limitation, copyrights, patents, claims of patent application, software, technological know-how, trade secrets and others produced or created according to this Agreement. Party B shall have exclusive sign all appropriate documents, take all appropriate measures, submit all documents and/or applications, provide all appropriate assistance and proprietary other necessary actions in Party A’s sole discretion, in order to endow all related ownership, rights and interests to all the rightsParty A, ownership, interests and intellectual property rights arising from or created by either and/or improve Party as a result A’s protection of its performance of this Agreement, including but not limited to copyright, patent, patent application rights, trademark rights, software, technical secrets, trade secrets and other such intellectual properties.
