Instructions on Closing. When all conditions precedent to the Close of Escrow have been satisfied or waived as provided herein, Escrow Holder shall (i) cause the Deed to be recorded in the office of the Chancery Clerk of Tunica County, and (ii) deliver (a) to Seller, funds in the amount of the Purchase Price, less or plus the net debit or credit to Seller by reason of the proration and allocation of closing costs, an appropriate escrow closing statement, and an originally executed General Assignment and ▇▇▇▇ of Sale, and (b) to Buyer, a file-stamped of the Deed, as recorded in the Chancery Clerk’s office, the Title Policy, an originally executed General Assignment and ▇▇▇▇ of Sale, the FIRPTA certificate, and an appropriate escrow closing statement.
