Common use of INITIALS Clause in Contracts

INITIALS. GMO". The Manager owns the initials "GMO" which may be used by the Trust only with the consent of the Manager. The Manager consents to the use by the Trust of the name "GMO Trust" or any other name embodying the initials "GMO", in such forms as the Manager shall in writing approve, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. The foregoing authorization by the Manager to the Trust to use said initials as part of a business or name is not exclusive of the right of the Manager itself to use, or to authorize others to use, the same; the Trust acknowledges and agrees that as between the Manager and the Trust, the Manager has the exclusive right so to authorize others to use the same; the Trust acknowledges and agrees that as between the Manager and the Trust, the Manager has the exclusive right so to use, or authorize others to use, said initials and the Trust agrees to take such action as may reasonably be requested by the Manager to give full effect to the provisions of this section (including, without limitation, consenting to such use of said initials). Without limiting the generality of the foregoing, the Trust agrees that, upon any termination of this Contract by either party or upon the violation of any of its provisions by the Trust, the Trust will, at the request of the Manager made within six months after the Manager has knowledge of such termination or violation, use its best efforts to change the name of the Trust so as to eliminate all reference, if any, to the initials "GMO" and will not thereafter transact any business in a name containing the initials "GMO" in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the initials "GMO" or any other reference to the Manager. Such covenants on the part of the Trust shall be binding upon it, its trustees, officers, stockholders, creditors and all other persons claiming under or through it.

LLC” which may be used by the Trust only with the consent of the Manager. The Manager consents to the use by the Trust of the name "“GMO Series Trust" ” or any other name embodying the initials "“GMO"” or the name “Grantham, Mayo, Van Otterloo & Co. LLC”, in such forms as the Manager shall in writing approve, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. The Manager consents to the use by the Trust Company of the name "GMO Trust" or any other name embodying “GMO” as part of the initials "GMO", in such forms as the Manager shall in writing approveCompany’s name, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust Company shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust Company at any time or in any place or for any purposes or under any conditions except as in this section provided. The foregoing authorization by the Manager to the Trust Company to use said initials as part of a business or name is not exclusive of the right of the Manager itself to use, or to authorize others to use, the same; the Trust Company acknowledges and agrees that as between the Manager and the TrustCompany, the Manager has the exclusive right so to authorize others to use the same; the Trust Company acknowledges and agrees that as between the Manager and the TrustCompany, the Manager has the exclusive right so to use, or authorize others to use, said initials and the Trust Company agrees to take such action as may reasonably be requested by the Manager to give full effect to the provisions of this section (including, without limitation, consenting to such use of said initials). Without limiting the generality of the foregoing, the Trust Company agrees that, upon any termination of this Contract by either party or upon the violation of any of its provisions by the TrustCompany, the Trust Company will, at the request of the Manager made within six months after the Manager has knowledge of such termination or violation, use its best efforts to change the name of the Trust Company so as to eliminate all reference, if any, to the initials "“GMO" ” and will not thereafter transact any business in a name containing the initials "“GMO" ” in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the initials "“GMO" ” or any other reference to the Manager. Such covenants on the part of the Trust Company shall be binding upon it, its trusteesdirectors, officers, stockholdersshareholders, creditors and all other persons claiming under or through it.

The Manager consents to the use by the Trust of the name "“GMO Trust" ” or any other name embodying the initials "“GMO"” or the name “Grantham, Mayo, Vxx Xxxxxxxx & Co. LLC”, in such forms as the Manager shall in writing approve, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. INITIALS. GMODLB" AND NAME ". XXXXXXX XXXXX." The Manager owns the initials "GMODLB" which and such initials may be used by the Trust only with the consent of the Manager. The Manager consents to the use by the Trust of the name "GMO TrustThe DLB Fund Group" or any other name embodying the initials "GMODLB", in such forms as the Manager shall in writing approve, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. Without limiting the generality of the foregoing, the Trust agrees that, upon any termination of this Contract by either party or upon the violation of any of its provisions by the Trust, the Trust will, at the request of the Manager made within six months after the Manager has knowledge of such termination or violation, use its best efforts to change the name of the Trust so as to eliminate all reference, if any, to the initials "GMODLB" and will not thereafter transact any business in a name containing the initials "GMODLB" in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the initials "GMODLB" or any other reference to the Manager. Such covenants on the part of the Trust shall be binding upon it, its trustees, officers, stockholders, creditors and all other persons claiming under or through it. The Manager and the Trust hereby agree that neither owns the name "Xxxxxxx Xxxxx" and that the Trust may only use the name "Xxxxxxx Xxxxx" as part of the name of the Fund for so long as (a) this Contract shall remain in full force and (b) the Sub-Advisory Agreement between Xxxxxx-Xxxxxxx Ivory International (the "Sub-Adviser") and the Manager with respect to the Fund shall remain in full force. The Trust hereby acknowledges that under this Contract it is using the name "Xxxxxxx Xxxxx" pursuant to a limited right of use. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. The authorization for the Trust to use said name as part of a business or name is not exclusive of the right of the owner of the name itself to use, or to authorize others to use, the same. Without limiting the generality of the foregoing, the Trust agrees that, (I) upon any termination of this Contract by either party or (II) upon any termination of the Sub-Advisory Agreement by either party thereto, the Trust will, at the request of the Manager or Sub-Adviser made within six months after the Manager has knowledge of such termination or violation, use its best efforts to change the name of the Trust so as to eliminate all reference, if any, to the name "Xxxxxxx Xxxxx" and will not thereafter transact any business in a name containing the name "Xxxxxxx Xxxxx" in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the name "Xxxxxxx Xxxxx" or any other reference to the Sub-Adviser or the owner of the name. Such covenants on the part of the Trust shall be binding upon it, its trustees, officers, stockholders, creditors and all other persons claiming under or through it.

INITIALS. GMOSSGA"; NAMES "STATE STREET" AND "STATE STREET GLOBAL ADVISORS"; LOGOS. The Manager owns Investment Company acknowledges that (i) the initials "GMOSSgA", (ii) the names "State Street" which and "State Street Global Advisors", (iii) the logo consisting of the initials "SSgA" with a globe inside the "g" and (iv) all other related names, initials and logos (collectively with the names, initials and logos referred to above, the "Marks") are the property of the Adviser and its related entities and may be used by the Trust Investment Company only with the consent of the ManagerAdviser. The Manager Adviser consents to the use by the Trust Investment Company of the name "GMO Trust" or any other name embodying the initials "GMO", Marks in such forms form as the Manager Adviser shall in writing approve, but only on condition and so long as (i) this Contract Agreement shall remain in full force and (ii) the Trust Investment Company shall fully perform, fulfill and comply with all provisions of this Contract Agreement expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust Investment Company at any time or in any place or for any purposes or under any conditions except as in this section provided. The foregoing authorization by the Manager Adviser to the Trust Investment Company to use said initials as part of a business or name the Marks is not exclusive of the right of the Manager Adviser itself to use, or to authorize others to use, the same; the Trust Investment Company acknowledges and agrees that as between the Manager Adviser and the TrustInvestment Company, the Manager has the exclusive right so to authorize others to use the same; the Trust acknowledges and agrees that as between the Manager and the Trust, the Manager Adviser has the exclusive right so to use, or authorize others to use, said initials use the Marks and the Trust Investment Company agrees to take such action as may reasonably be requested by the Manager Adviser to give full effect to the provisions of this section (including, without limitation, consenting to such use of said initialsthe Marks). Without limiting the generality of the foregoing, the Trust Investment Company agrees that, upon any termination of this Contract Agreement by either party or upon the violation of any of its provisions by the TrustInvestment Company, the Trust Investment Company will, at the request of the Manager Adviser made within six months after the Manager Adviser has knowledge of such termination or violation, use its best efforts to change the name of the Trust so as to eliminate all reference, if any, to the initials "GMO" SSgA", and any other Marks and will not thereafter transact any business in a name containing the initials "GMOSSgA" or any other Marks in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the initials "GMOSSgA" or any other Mark xx reference to the ManagerAdviser. Such covenants on the part of the Trust Investment Company shall be binding upon it, its trustees, officers, stockholders, creditors and all other persons claiming under or through it.

INITIALS. GMODLB. ". The Manager owns the initials "GMODLB" which and such initials may be used by the Trust only with the consent of the Manager. The Manager consents to the use by the Trust of the name "GMO TrustThe DLB Fund Group" or any other name embodying the initials "GMODLB", in such forms as the Manager shall in writing approve, but only on condition and so long as (i) this Contract shall remain in full force and effect and (ii) the Trust shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust at any time or in any place or for any purposes or under any conditions except as in this section provided. The foregoing authorization by the Manager to the Trust to use said initials as part of a business or name is not exclusive of the right of the Manager itself to use, or to authorize others to use, the same; the Trust acknowledges and agrees that as between the Manager and the Trust, the Manager has the exclusive right so to authorize others to use the same; the Trust acknowledges and agrees that as between the Manager and the Trust, the Manager has the exclusive right so to use, or authorize others to use, said initials and the Trust agrees to take such action as may reasonably be requested by the Manager to give full effect to the provisions of this section (including, without limitation, consenting to such use of said initials). Without limiting the generality of the foregoing, the Trust agrees that, upon any termination of this Contract by either party or upon the violation of any of its provisions by the Trust, the Trust will, at the request of the Manager made within six months after the Manager has knowledge of such termination or violation, use its best efforts to change the name of the Trust so as to eliminate all reference, if any, to the initials "GMODLB" and will not thereafter transact any business in a name containing the initials "GMODLB" in any form or combination whatsoever, or designate itself as the same entity as or successor to an entity of such name, or otherwise use the initials "GMODLB" or any other reference to the Manager. Such covenants on the part of the Trust shall be binding upon it, its trustees, officers, stockholders, creditors and all other persons claiming under or through it.

LLC” which may be used by the Trust Company only with the consent of the Manager. The Manager consents to the use by the Trust Company of the name "GMO Trust" “GMO” or any other the name embodying “Grantham, Mayo, Van Otterloo & Co. LLC” as part of the initials "GMO", in such forms as the Manager shall in writing approveCompany’s name, but only on condition and so long as (i) this Contract shall remain in full force and (ii) the Trust Company shall fully perform, fulfill and comply with all provisions of this Contract expressed herein to be performed, fulfilled or complied with by it. No such name shall be used by the Trust Company at any time or in any place or for any purposes or under any conditions except as in this section provided.
