Initial Mailing. First Federal and Frankfort First will mail a Form of Election to all holders of record of shares of Frankfort First Common Stock as of a date mutually agreed to by Frankfort First and First Federal (the “Initial Mailing Record Date”) which shall be approximately 45 calendar days prior to the anticipated Effective Time. Elections shall be made by holders of Frankfort First Common Stock by mailing to the Exchange Agent a Form of Election. To be effective, a Form of Election must be properly completed, signed and submitted to the Exchange Agent and accompanied by the certificates representing the shares of Frankfort First Common Stock (“Frankfort First Certificates”) as to which the election is being made (or by an appropriate guarantee of delivery of such certificates as set forth in such Form of Election from a member of any registered national securities exchange or of the National Association of Securities Dealers, Inc. or a commercial bank or trust company having an office or correspondent in the United States, provided such certificates are in fact delivered by the time set forth in such guarantee of delivery). First Federal will have the discretion, which it may delegate in whole or in part to the Exchange Agent, to determine whether Forms of Election have been properly completed, signed and submitted or revoked and to disregard immaterial defects in Forms of Election. The decision of First Federal (or the Exchange Agent) in such matters shall be conclusive and binding. Neither First Federal nor the Exchange Agent will be under any obligation to notify any Person of any defect in a Form of Election submitted to the Exchange Agent. The Exchange Agent shall also make all computations contemplated by this Section 2.8 of this Agreement and all such computations shall be conclusive and binding on the holders of Frankfort First Common Stock absent manifest error in any such computation.

The materials 2650 shall be designed to address specific Collection needs or problems. The materials shall be 2651 printed in English, Spanish, and other languages specified by City. The materials shall be 2652 professionally printed on paper stock with not less than fifty percent (50%) recycled paper 2653 content including at least ten percent (10%) post-consumer recycled paper content. Contractor 2654 shall provide camera-ready copy to City for City's review and approval prior to printing and 2655 distribution. Any promotional materials or news releases developed for Contractor's own use 2656 shall be developed at Contractor's sole cost and expense. Contractor shall obtain City's written 2657 approval of the materials prior to printing or distributing the materials. 2658 B. Website. Contractor shall develop a comprehensive website specific to City which fully explains 2659 and effectively promotes the Diversion options offered to its Service Recipients.   • Statistical and Market Data Nothing has come to the attention of the Company that has caused the Company to believe that the statistical and market-related data included in the Registration Statement, the Pricing Disclosure Package and the Prospectus is not based on or derived from sources that are reliable and accurate in all material respects.
