INFORMATIONAL MATERIAL Clause Samples

The 'Informational Material' clause defines the treatment and use of materials or content provided for informational purposes within an agreement. Typically, this clause clarifies that such materials are supplied solely to inform or assist the recipient, without conferring any rights to use, reproduce, or rely on them beyond their intended informational context. For example, a company might share product specifications or market data as informational material, but the recipient is not permitted to distribute or act on this information as if it were part of the contractual deliverables. The core function of this clause is to limit the legal effect of shared information, ensuring that only expressly agreed-upon materials are binding or actionable, thereby reducing misunderstandings and managing risk.
INFORMATIONAL MATERIAL. A packet of Union informational material shall be provided to each new employee represented by AFSCME. The material contained in such packet shall be determined by mutual agreement achieved through the local labor-management meeting. The University shall be responsible for the distribution of the packet.
INFORMATIONAL MATERIAL. The Subadviser shall provide the Adviser for its review prior to their use, copies of all informational materials prepared by or on behalf of the Subadviser, mentioning any Fund, including but not limited to, advertisements, brochures, and promotional and any other similar materials (the "Informational Materials"), and that such Informational Materials shall conform with, and be disseminated in accordance with, applicable laws.
INFORMATIONAL MATERIAL. Franchisor shall provide Franchisee with such periodic newsletters, bulletins and additional informational material as Franchisor deems advisable. Such additional information will include new recipes and menu items to be added to, or substituted for, recipes and menu items previously furnished to Franchisee.
INFORMATIONAL MATERIAL. The Fund shall use its best efforts to protect the goodwill and reputation of IPAA and of the IPAA Marks in connection with its use of the IPAA Marks under this Agreement, and shall comply with all trademark usage requirements provided by IPAA to the Fund from time to time. Upon IPAA's request, the Fund shall submit to IPAA, for review of the use of IPAA Marks, informational materials, including, where applicable, prospectuses, plans, registration statements, application forms, contracts, videos, internet sites, electronic commerce, advertisements, brochures and promotional and any other similar informational materials (including documents required to be filed with governmental or regulatory agencies) that in any way use or refer to IPAA, the IPAA Index, or the IPAA Marks (the "Informational Materials"). In the event that the IPAA determines that the use of the IPAA Marks does not comply with the trademark usage requirements, IPAA shall so notify the Fund and the Fund shall promptly (no less than thirty (30) days following such notice) conform such Informational Materials to the usage requirements.
INFORMATIONAL MATERIAL. On or before the Commencement Date of this Agreement, Company will provide to Customer, if available, one coverage map for Areas where Customer wishes to resell Service. Customer may request in writing no more frequently than once in any six (6) month period updated informational material described in the first sentence of this Section 8.2. Customer agrees that it shall not distribute any informational materials provided to Customer under this Agreement unless such distribution complies with the requirements and restrictions of Section 9.1 below.
