Common use of Information Release Clause in Contracts

Information Release. a. Grantee shall keep and maintain public records required by DEO to perform Grantee’s responsibilities hereunder. Grantee shall, upon request from DEO’s custodian of public records, provide DEO with a copy of the requested records or allow the records to be inspected or copied within a reasonable time per the cost structure provided in chapter 119, F.S., and in accordance with all other requirements of chapter 119, F.S., or as otherwise provided by law. Upon expiration or termination of this Agreement, Grantee shall transfer, at no cost, to DEO all public records in possession of Grantee or keep and maintain public records required by DEO to perform the service. If the Grantee keeps and maintains public records upon completion of the Agreement, the Grantee shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to DEO, upon request from the DEO’s custodian of records, in a format that is compatible with the information technology systems of DEO. b. If DEO does not possess a record requested through a public records request, DEO shall notify the Grantee of the request as soon as practicable, and Grantee must provide the records to DEO or allow the records to be inspected or copied within a reasonable time. If Grantee does not comply with DEO’s request for records, DEO shall enforce the provisions set forth in this Agreement. A Grantee who fails to provide public records to DEO within a reasonable time may be subject to penalties under section 119.10, F.S. ▇. ▇▇▇ does not endorse any Grantee, commodity, or service. No public disclosure or news release pertaining to this Agreement shall be made without the prior written approval of DEO. If Grantee submits records to DEO that are confidential and exempt from public disclosure as trade secrets or proprietary confidential business information, such records should be identified as such by Grantee prior to submittal to DEO. Failure to identify the legal basis for each exemption from the requirements of chapter 119, F.S., prior to submittal of the record to DEO serves as ▇▇▇▇▇▇▇’s waiver of a claim of exemption. Grantee shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the Agreement term and following completion of the Agreement if the Grantee does not transfer the records to DEO upon termination of the Agreement. f. For records made or received by Grantee in conjunction with this Agreement, Grantee shall respond to requests to inspect or copy such records in accordance with chapter 119, F.S. g. f) In addition to ▇▇▇▇▇▇▇Grantee’s responsibility to directly respond to each request it receives for records made or received by Grantee in conjunction with this Agreement and to provide the applicable public records in response to such request, Grantee shall notify DEO of the receipt and content of such request by sending an e-mail to ▇▇▇▇▇▇▇▇▇@▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇ within one (1) business day from receipt of such request. h. g) Grantee shall notify DEO verbally within twenty-four (24) 24 chronological hours and in writing within seventy-two (72) 72 chronological hours if any data in ▇▇▇▇▇▇▇Grantee’s possession related to this Agreement is subpoenaed or improperly used, copied, or removed (except in the ordinary course of business) by anyone except an authorized representative of DEO. Information Release. a. a) Grantee shall keep and maintain public records required by DEO Commerce to perform Grantee▇▇▇▇▇▇▇’s responsibilities hereunder. Grantee shall, upon request from DEOCommerce’s custodian of public records, provide DEO Commerce with a copy of the requested records or allow the records to be inspected or copied within a reasonable time per the cost structure provided in chapter 119, F.S., and in accordance with all other requirements of chapter 119, F.S., or as otherwise provided by law. Upon expiration or termination of this Agreement, Grantee shall transfer, at no cost, to DEO Commerce all public records in possession of Grantee or keep and maintain public records required by DEO Commerce to perform the service. If the Grantee ▇▇▇▇▇▇▇ keeps and maintains public records upon completion of the this Agreement, the Grantee shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to DEOCommerce, upon request from the DEOCommerce’s custodian of records, in a format that is compatible with the information technology systems of DEOCommerce. b. b) If DEO Commerce does not possess a record requested through a public records request, DEO Commerce shall notify the Grantee of the request as soon as practicable, and Grantee must provide the records to DEO Commerce or allow the records to be inspected or copied within a reasonable time. If Grantee does not comply with DEO’s request for records, DEO shall enforce the provisions set forth in this Agreement. A Grantee who fails to provide public records to DEO within a reasonable time may be subject to penalties under section 119.10, F.S.does ▇. ▇▇▇ does not endorse any Grantee, commodity, or service. No public disclosure or news release pertaining to this Agreement shall be made without the prior written approval of DEO. Grantee is prohibited from using Agreement information, sales values/volumes and/or DEO customers in sales brochures or other promotions, including press releases, unless prior written approval is obtained from DEO. d. c) ▇▇▇▇▇▇▇ acknowledges that DEO Commerce is subject to the provisions of chapter 119, F.S., relating to public records and that reports, invoices, and other documents Grantee submits to DEO Commerce under this Agreement may constitute public records under Florida Statutes. Grantee shall must cooperate with DEO Commerce regarding DEOCommerce’s efforts to comply with the requirements of chapter 119, F.S. e. d) If Grantee submits records to DEO Commerce that are confidential and exempt from public disclosure as trade secrets or proprietary confidential business information, such records should be clearly marked and identified as such by Grantee prior to submittal to DEOCommerce. Failure to clearly mark and identify the legal basis for each exemption from the requirements of chapter 119, F.S., prior to submittal of the record to DEO serves Commerce may serve as ▇▇▇▇▇▇▇’s a waiver of a claim of exemption. Grantee shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the this Agreement term and following completion of the this Agreement if the Grantee does not transfer the records to DEO Commerce upon termination of the this Agreement. f. e) Grantee shall allow public access to all records made or received by Grantee in conjunction with this Agreement, unless the records are exempt from section s. 24(a) of Article I of the State Constitution and section 119.07(1), F.S. F.S..
