Common use of Ineffective Provisions Clause in Contracts

Ineffective Provisions. Should individual provisions of this contract, for any reason, found to be or become ineffective, or should a fulfillment discrepancy arise, then notwithstanding this agreement shall remain in full force. A provision that is closest in the scope of the legal possibilities of what the parties intended - or if they had considered the provision would have want- ed - shall replace the ineffective provision or the fulfillment discrepancy, if necessary retrospectively.
