Common use of Individual Arrangements Clause in Contracts

Individual Arrangements. (i) SpinCo acknowledges and agrees that, except as otherwise provided herein, it shall have full responsibility with respect to any Liabilities and the payment or performance of any obligations arising out of or relating to any employment, consulting, non- competition, retention or other compensatory arrangement entered into between any member of the SpinCo Group and any SpinCo Employee.

Individual Arrangements. (i) SpinCo acknowledges and agrees that, except with respect to the ClinOps Employee Transaction Liabilities or as otherwise provided hereinin this Agreement, it shall have full responsibility with respect to any Liabilities and the payment or performance of any obligations arising out of or relating to any employment, consulting, non- non-competition, retention or other compensatory arrangement entered into between any member of the SpinCo Group and any SpinCo Transferred Employee.
