INDEPENDENT ATTORNEY. The parties acknowledge this document is a contract granting rights, duties and liabilities for both parties, and was prepared by the City Attorney. TENANT has had the opportunity to obtain legal advice regarding this agreement. THIS AGREEMENT shall be binding upon the parties hereto and their respective creditors, successors, and assigns.

INDEPENDENT ATTORNEY. This Agreement, and the other Transaction Agreement have been prepared, in part, by Pxxxxxxx Xxxxxxx Kxxxx, PLLC, as counsel of Maven, for and on behalf of only Maven. The Shareholders acknowledge and understand that they have not be represented by Pxxxxxxx Xxxxxxx Kxxxx, PLLC with respect to this Agreement and the Transaction Agreements and that have each been represented in the negotiations and preparation of this Agreement by independent counsel of their choice, or have been advised to seek independent counsel to represent their individual interests, and that they have read this Agreement, have had its contents fully explained to them by such counsel, if any, and are fully aware of the contents hereof and of its legal effect.
INDEPENDENT ATTORNEY. ATTORNEY shall perform the services under this Agreement as an independent ATTORNEY and not as an employee, or, unless otherwise specifically stated herein, as an agent of the CITY.

  • Independent Agreement The covenants made in this Section 9 shall be construed as an agreement independent of any other provisions of this Agreement, and shall survive the termination of this Agreement. Moreover, the existence of any claim or cause of action of Executive against the Company or any of its affiliates, whether or not predicated upon the terms of this Agreement, shall not constitute a defense to the enforcement of these covenants.

  • Independent Accountant Xxxxxxxx LLP (the “Accountant”), which has expressed its opinions with respect to the audited financial statements (which term as used in this Agreement includes the related notes thereto) of the Company filed with the Commission as a part of the Registration Statement and included in the Disclosure Package and the Prospectus, is an independent registered public accounting firm as required by the Securities Act and the Exchange Act.

  • Independent Advice Each Purchaser understands that nothing in this Agreement or any other materials presented by or on behalf of the Company to the Purchaser in connection with the purchase of the Securities constitutes legal, tax or investment advice.   • Independent Auditor The Company’s independent auditor, if any, shall be an independent public accounting firm selected by the Member, which may also be the Member’s independent auditor.

  • Counsel The Warrant Agent may consult with counsel satisfactory to it, which may include counsel for the Company, and the written advice of such counsel shall be full and complete authorization and protection in respect of any action taken, suffered or omitted by it hereunder in good faith and in accordance with the advice of such counsel.
