INDEMNIFICATION PROVISION. Contractor expressly agrees to indemnify, defend and hold TCSD and its respective officers, directors, trustees, agents and employees (collectively, the “Indemnified Parties”) harmless from any and all claims, damages, actions, liability, damages, losses, penalties, costs, and attorneys’ fees in connection with any personal injury or property damage imposed upon, incurred by, or asserted against TCSD in any way connected to, or arising from, Contractor’s performance of its obligations or Services under this Agreement for TCSD or the acts or omissions of its agents, representatives, employees, contractors, subcontractors or material suppliers. This indemnification expressly shall survive termination or expiration of this Agreement.
