Common use of Indemnification of Executive Clause in Contracts

Indemnification of Executive. Company shall indemnify Executive against any liability incurred in connection with any proceeding in which the Executive may be involved as a party or otherwise by reason of the fact that Executive is or was serving as Chief Financial Officer to the extent permitted by the Company’s articles of incorporation, bylaws and applicable law. To further effect, satisfy or secure the indemnification obligations provided herein or otherwise, the Company shall cause its director and officer liability insurance to cover Executive during the Term and for such period thereafter as the Company’s liability insurance policy permits coverage for actions or omissions of former directors or officers.

To further effect, satisfy or secure the indemnification obligations provided herein or otherwise, the Company Bank shall cause its director and officer liability insurance to cover Executive during the Term and for such period thereafter as the CompanyBank’s liability insurance policy permits coverage for actions or omissions of former directors or officers.

To further effect, satisfy or secure the indemnification obligations provided herein or otherwise, the Company Bank shall cause its director and officer liability insurance to cover Executive during the Term and for such period thereafter as the CompanyBank’s liability insurance policy permits coverage for actions or omissions of former directors or officers.

To further effect, satisfy or secure the indemnification obligations provided herein or otherwise, the Company shall cause its director and officer liability insurance to cover Executive during the Term and for such period thereafter as the Company’s liability insurance policy permits coverage for actions or omissions of former directors or officers.
