Incorporation, Power and Solvency. Alignvest is a corporation incorporated, organized and subsisting under the laws of the jurisdiction of its incorporation. Alignvest has the corporate power, authority and capacity to execute and deliver this Agreement and the Transaction Agreements and to perform its obligations hereunder and thereunder. No proceedings have been taken or authorized by Alignvest or, to the knowledge of Alignvest, by any other Person, with respect to the bankruptcy, insolvency, liquidation, dissolution or winding-up of Alignvest.
