Common use of Inability to Comply with Cost Sharing Obligations Clause in Contracts

Inability to Comply with Cost Sharing Obligations. If the Prime Recipient determines that it might be unable to meet its cost sharing obligations, the Prime Recipient is required to notify the ARPA-E Contracting Officer in writing immediately. The notification must include the following information: (i) whether the Prime Recipient intends to continue or phase out the project, and (ii) if the Prime Recipient intends to continue the project, how the Prime Recipient will pay (or secure replacement funding for) the Prime Recipient’s share of the total project cost. If the Prime Recipient fails to meet its cost sharing obligations, ARPA-E may recover some or all of the financial assistance provided under this Award.
