Common use of IMS Health Plans Clause in Contracts

IMS Health Plans. Except as provided in Section 5.7 herein, (a) with respect to any newly created Employee Benefit Plan sponsored by the IMS Health Group after the Effective Time, the IMS Health Group shall cause to be recognized (to the extent applicable) each IMS Health Employee's (i) past service with the Corporation Group to the extent recognized under similar plans maintained by the Corporation Group immediately prior to the Effective Time and (ii) accrued but unused vacation time and sick days, and (b) any IMS Health Employee who participated in a Corporation Employee Benefit Plan immediately prior to the Effective Time shall be entitled to immediate participation in a similar newly created Employee Benefit Plan sponsored by the IMS Health Group.
