Common use of Illegality and Severability Clause in Contracts

Illegality and Severability. If a court of competent jurisdiction holds any provision of this Agreement to be invalid, illegal or unenforceable (whether in whole or in part), such provision shall be deemed modified or not to form part of this Agreement to the extent, but only to the extent, of such invalidity, illegality or unenforceability and the remaining provisions of this Agreement shall remain valid and not be affected thereby.

Illegality and Severability. If any term or provision of this Agreement is held by a court of competent jurisdiction holds any provision of this Agreement to be invalid, illegal or unenforceable (whether unenforceable, in whole or in part), such provision it shall to that extent be deemed modified or not to form part of this Agreement to but the extent, but only to validity and enforceability of the extent, of such invalidity, illegality or unenforceability and the remaining provisions remainder of this Agreement shall remain valid and not be affected therebyaffected.

If In the event a court of competent jurisdiction holds any part or provision of this Agreement to be illegal, invalid, illegal or unenforceable (whether in whole or in part)conflict with the applicable laws or regulations, such provision shall be deemed modified or not to form part of this Agreement ineffective to the extentextent of such holding and shall be replaced with a part or provision that accomplishes, but only to the extentextent possible, the original commercial purpose and economic benefit of such invaliditypart or provision in a valid and enforceable manner, illegality without affecting, impairing or unenforceability and invalidation the remaining provisions of this Agreement which shall remain valid binding on the parties hereto and not be affected therebyin full force and effect.
