If Dr. ▇▇▇▇▇▇▇ ▇▇ his designee is not a member of the Board of Directors of Raytel Medical Corporation , then the Medical Group shall sell one hundred (100) newly issued shares to a Qualified Medical Professional who is a member of the Board of Directors of Raytel Medical Corporation. The Successor Shareholder shall be selected in the manner set forth in sub-paragraph (d) herein. Such Successor Shareholder shall become a party to this Agreement and agree to be bound by the terms hereof.
