Common use of HSR Act Filings Clause in Contracts

HSR Act Filings. (a) As promptly as practicable after the date hereof but in any event no later than 10 Business Days thereafter, the Company shall file all reports and documents as may be necessary to comply with the HSR Act. The Company shall cooperate with and assist the Purchaser and take such action as may be reasonably required and as permitted under law in connection with such filings (including cooperating with additional requests for information, documents and interviews of officers and personnel by either of the antitrust enforcement agencies).

HSR Act Filings. The Company Purchaser shall cooperate with and assist the Purchaser Company and take such action as may be reasonably required and as permitted under law in connection with such filings (including cooperating with additional requests for information, documents and interviews of officers and personnel by either of the antitrust enforcement agencies).

(ai) As promptly soon as practicable after the date hereof but and in any event no later than 10 within ten (10) Business Days thereafterfollowing the date of the Agreement, the Company Companies and the Buyer Parties each shall file all reports a Notification and documents Report Form and such other filings as may be necessary to comply required under the HSR Act with the HSR Act. The Company shall cooperate with FTC and assist the Purchaser and take such action as may be reasonably required and as permitted under law in connection with such filings (including cooperating with additional requests for information, documents and interviews of officers and personnel Justice Department concerning the transactions contemplated by either of the antitrust enforcement agencies)this Agreement.
