Common use of Hi-Tech Clause in Contracts

Hi-Tech. Subject to receiving Hi-Tech’s consent, BioMarin will assign to Alliant all of BioMarin’s right, title, and interest in and to the Hi-Tech License and Supply Agreement, and Alliant will assume all of the obligations of BioMarin under the Hi-Tech License and Supply Agreement, to the extent such obligations arise after the effective date of the assignment of the Hi-Tech License and Supply Agreement to Alliant. After the assignment of the Hi-Tech License and Supply Agreement, Alliant will pay BioMarin the royalties required under Section 6.3 for each Orapred Product sold or otherwise disposed of by Hi-Tech pursuant to the Hi-Tech License and Supply Agreement.
