Common use of Heirs Clause in Contracts

Heirs. Successors. and Assigns. No party hereto may assign any of such Person's rights or delegate or cause to be assumed any of such Person's obligations under this Agreement. Any purported assignment or delegation shall be null and void ab initio and of no force and effect whatsoever. Subject to the preceding sentence, each and all of the covenants, terms, provisions, and agreements herein contained shall be binding upon and inure to the benefit of the parties hereto and, to the extent permitted by this Agreement and by applicable law, their respective heirs, legal representatives, successors, and assigns. Nothing expressed or referred to in this Agreement shall be construed to give any Person other than the parties hereto any legal or equitable right, remedy or claim under or with respect to this Agreement, except such rights as shall inure to an heir, executor, personal representative, successor, or permitted assign pursuant to this paragraph.
