Common use of Government Approvals Clause in Contracts

Government Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or regulatory body is required for the due execution, delivery and performance by it of this Agreement and each other Transaction Document to which it is a party, except, in the case of the Seller, for (i) the filing of the UCC financing statements referred to in Article V, and (ii) the filing of any UCC continuation statements and amendments from time to time required in relation to any UCC financing statements filed in connection with this Agreement, as provided in Section 8.7, all of which, at the time required in Article V or Section 8.7, as applicable, shall have been duly made and shall be in full force and effect.

Government Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or regulatory body is required for the due execution, delivery and performance by it such party of this Agreement and each other Transaction Document to which it is a party, except, in the case of the Seller, EXCEPT for (i) the filing of the UCC financing statements and UCC termination statements referred to in Article ARTICLE V, and (ii) the filing of any UCC continuation statements and amendments from time to time required in relation to any UCC financing statements filed in connection with this Agreement, as provided in Section 8.7SECTION 8.05, all of which, at the time required in Article ARTICLE V or Section 8.7SECTION 8.05, as applicable, shall have been duly made and shall be in full force and effect.

Government Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority governmental authority or regulatory body is required for the due execution, delivery and performance by it each Seller Party of this Agreement and each other Transaction Document to which it is a party, except, in the case of the Seller, except for (i) the filing of the UCC financing statements referred to in Article V, and (ii) the filing of any UCC continuation statements and amendments from time to time required in relation to any UCC financing statements filed in connection with this Agreement, as provided in Section 8.78.05, all of which, at the time required in Article V or Section 8.78.05, as applicable, shall have been duly made and shall be in full force and effect.

No authorization or approval approval, consent, exemption, authorization, or other action by, and no or notice to to, or filing with, any Governmental Authority is necessary or regulatory body is required for in connection with the due execution, delivery and or performance by it the Borrower or the Servicer of this Agreement and each or any other Transaction Document to which it is a partyDocument, exceptor the enforcement thereof, in the case of the Seller, except for (i) the filing of the UCC financing statements referred to in Article VSections 5.1(f), and (ii) the filing of any UCC continuation statements and amendments from time to time required in relation to any UCC financing statements filed in connection with this Agreement, as provided in Section 8.78.5, all of which, at the time required in Article V or Section 8.7, as applicablesuch Sections, shall have been duly made and shall be in full force and effect.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority governmental authority or regulatory body is required for the due execution, delivery and performance by it of this Agreement and each other Transaction Document to which it is a party, except, in the case of the SellerBorrower, for (i) the filing of the UCC financing statements referred to in Article V, and (ii) the filing of any UCC continuation statements and amendments from time to time required in relation to any UCC financing statements filed in connection with this Agreement, as provided in Section 8.7, all of which, at the time required in Article V or Section 8.7, as applicable, 8.7 shall have been duly made and shall be in full force and effect.
