Governing Assumptions. The royalty structure negotiated between the parties is based upon Licensee's current or planned business model for obtaining revenue from the distribution of Licensee Applications to customers, whereby Licensee does not distribute the Passport Client as a standalone software development toolkit. Should Licensee change its licensing model for any Licensee Application such that the governing assumptions, for which the parties relied upon to derive the current royalty structure are no longer accurate, the parties agree to revisit the royalty to reflect parties' then current pricing and business model, and to come to a written mutual agreement.

  • Payoffs and Assumptions The Seller shall provide to the Purchaser, or its designee, copies of all assumption and payoff statements generated by the Seller on the related Mortgage Loans from the related Cut-off Date to the related Transfer Date.

  • Nonassumption If upon the closing of any Acquisition the successor entity does not assume the obligations of this Warrant and Holder has not otherwise exercised this Warrant in full, then the unexercised portion of this Warrant shall be deemed to have been automatically converted pursuant to Section 1.2 and thereafter Holder shall participate in the acquisition on the same terms as other holders of the same class of securities of the Company.

  • Successors, Assumption of Contract This Agreement is personal to the Executive and may not be assigned by the Executive without the written consent of the Company.
