Going Effective. They will use their best efforts to cause the Registration Statement to become effective as promptly as possible and notify you immediately, and confirm such notice in writing, (A) when the Registration Statement and any post-effective amendment thereto become effective, (B) of the receipt of any comments from the OFIS, Commission or the "blue sky" or securities authority of any jurisdiction regarding the Registration Statement, any post-effective amendment thereto, the Prospectus, or any amendment or supplement thereto, and (C) of the receipt of any notification with respect to a Stop Order or the initiation or threatening of any proceeding with respect to a Stop Order. Further, they will use their best efforts to prevent the issuance of any Stop Order and, if any Stop Order is issued, to obtain the lifting thereof as promptly as possible.
Going Effective. If all conditions to effectiveness shall be satisfied, this Modification Agreement shall be effective retroactive to the Modification Effective Date regardless of the date when such conditions have been satisfied and this Modification Agreement shall be effective as of the Modification Effective Date.
