Common use of GIEK Agent actions Clause in Contracts

GIEK Agent actions. The GIEK Agent agrees to take such actions under the GIEK Guarantee (including with respect to any amendment, modification or supplement to the GIEK Guarantee) as may be directed on the unanimous instructions of the GIEK Facility Lenders from time to time; provided that, anything herein or in the GIEK Guarantee to the contrary notwithstanding, the GIEK Agent shall not be obliged to take any such action or to expend or risk its own funds or otherwise incur any liability in the performance of any of its duties or the exercise of any of its rights or powers hereunder or thereunder if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it or if such action would be contrary to applicable law.
