Common use of Geographic Scope and Applicability Clause in Contracts

Geographic Scope and Applicability. a. You warrant and represent that You are a resident of or Your registered office is located in one of the following countries: Middle Eastern Countries, Bangladesh, Indonesia, Israel, the United States of America or Puerto Rico. b. Subject to Section 1.1(a) of this Exhibit B above, You and UPS agree to modify the General Terms and Conditions as set forth in Section 1.2 of this Exhibit B below. c. Except as amended as set forth herein, the General Terms and Conditions (including the Exhibits thereto) shall continue in full force and effect until expired or terminated and reflect the entire agreement between You and UPS regarding the subject matter hereof. To the extent that any provisions of this Exhibit B are inconsistent with the General Terms and Conditions, the terms of this Exhibit B shall govern solely with regard to the subject of the inconsistency. d. In consideration of the promises and mutual covenants of the parties, You and UPS agree that the General Terms and Conditions shall be modified as set forth in Section 1.2 of this Exhibit B below.
